1. Acceptance of Terms

By accessing or using VigQuant ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all the terms and conditions, you may not access or use the Service. We reserve the right to update these Terms at any time. Material changes will be communicated via email to registered users. Your continued use of the Service after any changes constitutes acceptance of the revised Terms.

2. Description of Service

VigQuant is an AI-powered trading intelligence platform that provides educational and informational analysis using proprietary algorithms, time-series foundation models, and multi-agent adversarial debate systems. VigQuant is NOT a registered investment advisor, broker-dealer, or financial planner. We are not registered with the Securities and Exchange Commission (SEC), the Commodity Futures Trading Commission (CFTC), the Financial Industry Regulatory Authority (FINRA), or any state securities regulatory authority.

3. Not Financial Advice

All analysis, predictions, signals, confidence scores, trade levels, and recommendations are for educational and informational purposes only. They do not constitute investment advice, financial advice, trading advice, or any other sort of advice. You should not treat any of VigQuant's content as such.

Any decisions you make based on information provided by VigQuant are solely your responsibility. We strongly recommend consulting a qualified financial advisor before making any investment decisions. VigQuant shall bear no liability whatsoever for trading decisions made using the Service.

4. Risk Disclosure

Trading stocks, options, futures, forex, cryptocurrencies, and other financial instruments involves substantial risk of loss and is not suitable for every investor. Past performance is not indicative of future results. You could lose some or all of your investment.

You should not invest money that you cannot afford to lose. You are responsible for all risks associated with your trading activities. Directional accuracy rates presented by the Service represent historical model performance and do not guarantee future accuracy.

5. User Accounts

To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You agree to notify us immediately of any unauthorized access. We are not liable for any loss or damage arising from your failure to protect your account information.

You may not create multiple accounts to circumvent rate limits, abuse free trials, or evade account restrictions. One account per person. Violation of this provision is grounds for immediate termination without refund.

6. Subscription, Billing & Auto-Renewal

VigQuant offers Free ($0/month), Pro ($79/month), and Institutional ($199/month) tiers. Paid subscriptions are billed through Stripe. By subscribing, you authorize VigQuant to charge your payment method on a recurring monthly basis.

Subscriptions auto-renew automatically at the end of each billing cycle unless cancelled before the renewal date. You may cancel at any time from your Settings page. Upon cancellation, you retain access until the end of your current paid billing period.

We reserve the right to change subscription pricing with 30 days' notice. Existing subscribers will be notified via email before price changes take effect on their next billing cycle.

7. Free Trial Policy

VigQuant offers a 7-day free trial for the Pro tier only. The Institutional tier does not include a free trial. The free trial is subject to the following conditions:

  • One-time offer: Each user is entitled to one (1) free trial, ever. The trial cannot be restarted, extended, or transferred.
  • Card required: A valid payment method must be provided to activate the trial. You will not be charged during the 7-day trial period.
  • Cancel anytime: You may cancel before day 7 with no charge. If you do not cancel, your subscription will automatically convert to a paid Pro subscription at $79/month.
  • IP-bound: Free trials are tracked by network (IP address), not solely by email address. Only one trial may be claimed per household/network to prevent abuse.
  • No re-trial: If you cancel during a trial, you may not start another trial on any account from the same network.

8. Refund Policy

Refunds are available only within 48 hours of the start of a paid billing cycle. After 48 hours, no refunds will be issued for the current billing period. You may cancel your subscription to prevent future charges.

  • Refund requests during an active free trial will be denied — cancel the trial instead (no charge applies).
  • Command packs are non-refundable one-time purchases.
  • Refund requests must be submitted via the Service or to billing@vigquant.com within the 48-hour window.
  • We reserve the right to deny refund requests that indicate abusive patterns (e.g., repeated subscribe-use-refund cycles).

9. API Usage & Rate Limits

Each tier includes a daily command limit. Exceeding the limit will result in temporary restriction until the next calendar day (UTC). Rate limits are enforced automatically. Institutional-tier users are additionally subject to burst rate limits (10 requests per minute on AI-intensive endpoints) to ensure fair resource allocation.

Programmatic API access is available to Institutional-tier users only. Automated scraping, bot-driven access, or systematic extraction of Service outputs by Free or Pro users is prohibited.

10. Prohibited Uses

You agree not to use the Service to:

  • Redistribute, resell, or sublicense any analysis, signals, or output from the Service
  • Create competing products or services using VigQuant output or methodologies
  • Scrape, crawl, or automatically extract data from the Service without authorization
  • Circumvent rate limits, authentication, or access controls
  • Create multiple accounts to abuse free trials or evade restrictions
  • Use the Service for market manipulation, pump-and-dump schemes, or any illegal activity
  • Reverse-engineer, decompile, or disassemble any proprietary algorithms or models
  • Remove, alter, or obscure any VigQuant watermarks, branding, or proprietary notices
  • Share account credentials with unauthorized third parties

11. Data Sources & Accuracy

We aggregate data from third-party providers including financial data vendors, market exchanges, and government sources. We do not guarantee the accuracy, completeness, or timeliness of any data. Third-party data is provided "as is" and may be subject to delays, errors, or omissions.

12. AI Model Limitations & Accuracy Disclaimer

VigQuant employs multiple AI systems including time-series foundation models (TSFMs), large language models (LLMs), and ensemble prediction methods. These models are probabilistic in nature and subject to the following limitations:

  • Directional accuracy typically ranges from 53-62% across diverse tickers and market conditions. This is competitive with institutional quantitative systems but is not guaranteed.
  • Models may produce errors, hallucinations, or contradictory signals.
  • Performance degrades during unprecedented market events, liquidity crises, or regime changes that fall outside historical training data.
  • Confidence scores are calibrated estimates, not certainties.
  • AI-generated text analysis may contain inaccuracies or outdated information.

Always verify information independently. Never rely solely on AI output for financial decisions.

13. Intellectual Property

All content, features, functionality, algorithms, models, software, trademarks, trade dress, and visual design of the Service — including but not limited to the VigQuant name, "VQ" logo, ARES/DEEPARES engine names, chart watermarks, and the adversarial debate methodology — are owned by VigQuant and protected by copyright, trademark, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, lease, or create derivative works from any part of the Service without prior written consent. Screenshots and exports from the Service contain watermarks which may not be removed, obscured, or altered.

14. DMCA / Takedown Process

If you believe that content available on or through the Service infringes your copyright, please send a DMCA takedown notice to legal@vigquant.com with: (a) identification of the copyrighted work, (b) identification of the infringing material, (c) your contact information, (d) a statement of good faith belief, and (e) a statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner.

15. Indemnification

You agree to indemnify, defend, and hold harmless VigQuant, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service, (b) your violation of these Terms, (c) your trading decisions made using information from the Service, or (d) your violation of any rights of a third party.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VIGQUANT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, INCLUDING ANY TRADING LOSSES INCURRED AS A RESULT OF USING THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

17. Dispute Resolution & Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in the State of Texas.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive the right to participate in a class action lawsuit or class-wide arbitration.

Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

18. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

20. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
